Provider Subscription On Discount Terms & Conditions

This Agreement (“Agreement”) is made and entered into on [insert date] (the “Effective Date”) by and between the Provider (the “Care Home”) and The Care Portal Limited, with registered office at 4 Palmerston Avenue, Goring-By-Sea, Worthing, West Sussex, England, BN12 4RN, United Kingdom (the “Company”).

Service. The Company agrees to provide care search engine services (the “Services”) to the Care Home for a period of three (3) years from the Effective Date, unless terminated earlier in accordance with this Agreement. The Services shall be provided in accordance with the terms and conditions set forth in this Agreement and on our website at https://thecarefinder.co.uk/page/terms-conditions

Discount. In consideration for the Care Home entering into this Agreement for a term of three (3) years, the Company shall offer the Care Home a [insert percentage] discount on the monthly rate for the Services.

Payment. The Care Home shall pay for the Services on a monthly basis, 15 days in advance. The Company shall invoice the Care Home for the Services, and payment shall be made via Stripe or another payment method agreed upon by the parties. In the event of late payment, a late charge of £20 shall be applied.

Dispute Resolution. Any dispute arising out of or relating to this Agreement, including the breach, termination, or validity thereof, shall be resolved through arbitration in accordance with the Arbitration Act 1996. The arbitration shall be conducted in London, England, and shall be administered by a mutually agreed-upon arbitrator or, failing agreement, by the Chartered Institute of Arbitrators. The decision of the arbitrator shall be final and binding on the parties.

Indemnification. The Care Home agrees to indemnify and hold harmless the Company, its affiliates, and their respective directors, officers, employees, and agents, from and against any and all claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or in connection with the Care Home’s use of the Services or any breach of this Agreement.

No Termination. This Agreement may not be terminated by either party prior to the end of the three-year term, except in the event of a material breach by the other party that remains uncured for thirty (30) days after written notice of such breach is given.

Confidentiality. The parties acknowledge that they may have access to each other’s confidential information during the course of this Agreement. Each party agrees to maintain the confidentiality of the other party’s confidential information and to use such information only in connection with the Services provided under this Agreement.

Governing Law. This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without giving effect to any choice of law or conflict of law provision or rule.
